Terms of Service

Welcome to XiTech. These Terms of Service (“Terms”) govern your access to and use of the XiTech platform, including our website, dashboard, AI Agent, and related services (collectively, the “Service”), operated by XiTech (“we,” “our,” or “us”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Description of Service

XiTech is a business platform that provides:

  • A storefront and inventory management system (“Online Store”)
  • An AI-powered Messenger sales agent (“AI Agent”) that responds to customer messages on your connected Facebook Page
  • A public storefront customers can browse and order from
  • Subscription billing with self-service upgrades

2. Eligibility and Accounts

  • You must be at least 18 years old and able to enter into a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate information when creating your account and keep it up to date.
  • You may connect one (1) Facebook Page to your AI Agent at a time. You must disconnect an existing Page before connecting a different one.

3. Subscription Plans and Billing

  • XiTech offers tiered subscription plans (Starter, Pro, Advance), each with a one-time setup fee, a free first month, and a recurring monthly fee thereafter, as described on our Billing page at the time of signup or upgrade.
  • Upgrades take effect immediately upon confirmed payment.
  • Downgrades and cancellations take effect at your next renewal date, not immediately, and must be requested through Customer Support.
  • Each plan includes a monthly AI reply allowance under our Fair Use Policy. Once your allowance is reached, your AI Agent automatically switches to Essential Reply Mode until your next renewal, or you may upgrade for additional capacity.
  • If a subscription is not renewed by its due date, your account may be placed in Essential Reply Mode and, after a grace period, suspended. See Section 8 (Suspension and Termination).
  • All fees are non-refundable except as required by applicable law.

4. Your Responsibilities as a Business Owner

You are solely responsible for:

  • The accuracy of your product listings, pricing, and business information
  • Fulfilling orders placed through your storefront and communicating with your customers
  • The content and configuration of your AI Agent’s Personality, Knowledge Base, and Sales Engine settings
  • Complying with all applicable laws relating to your business, including consumer protection, advertising, and tax laws
  • Your own payment collection from customers (XiTech is not a party to transactions between you and your customers, except for your own subscription payments to us)

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Sell counterfeit, illegal, or prohibited goods or services
  • Send spam, deceptive, or misleading messages to customers
  • Attempt to circumvent Fair Use limits, security measures, or Facebook/Meta’s Messenger Platform Policies
  • Interfere with or disrupt the Service, including through unauthorized access, scraping, or reverse engineering
  • Use another Business Owner’s connected Facebook Page or account without authorization

We reserve the right to suspend or terminate accounts that violate these Terms, Facebook/Meta’s policies, or applicable law.

6. AI Agent Disclaimer

The AI Agent uses artificial intelligence (via a third-party AI service provider) to generate replies based on your configured Personality, Knowledge Base, and Sales Engine settings. While we strive for accuracy:

  • AI-generated replies may occasionally be inaccurate, incomplete, or not reflect your intended tone.
  • You are responsible for reviewing and correcting your Knowledge Base to improve reply accuracy over time.
  • XiTech is not liable for any transaction, dispute, or miscommunication arising from AI-generated replies.

7. Facebook/Meta Platform Compliance

Your use of the AI Agent and Page connection features is also subject to Meta’s Platform Terms and Messenger Platform Policies. You are responsible for ensuring your use of Messenger messaging (including automated replies and follow-up messages) complies with Meta’s messaging window policies and applicable permissions. XiTech reserves the right to disable features that risk violating Meta’s policies.

8. Suspension and Termination

We may suspend or terminate your account if:

  • Your subscription is not renewed after the applicable grace period
  • You violate these Terms, our Acceptable Use policy, or applicable law
  • We reasonably suspect fraudulent, abusive, or suspicious activity on your account

If your account is suspended, you will see a notice explaining the reason and may contact Customer Support to resolve the issue. We do not delete your data upon suspension — see our Data Deletion page for how permanent deletion works.

You may cancel your account at any time by contacting Customer Support.

9. Intellectual Property

  • XiTech and its logo, design, and platform features are our intellectual property. You may not copy, modify, or redistribute any part of the Service without permission.
  • You retain ownership of your own content (product listings, images, Knowledge Base entries, business information) that you upload to the Service. You grant us a limited license to store, process, and display this content solely to operate the Service on your behalf.

10. Disclaimers and Limitation of Liability

The Service is provided “as is” without warranties of any kind, express or implied. To the maximum extent permitted by law, XiTech is not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including lost profits, lost sales, or business interruption.

11. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised “Effective Date.” Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
